Welcome to Opal & Oak. The terms “we”, “us” and “our” refer to Opal & Oak. Opal & Oak operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Opal & Oak is powered by Shopify, which enables us to provide the Services to you.

These terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe your rights and responsibilities when you use the Services.

Opal & Oak reserves the right to accept or decline an order for any lawful reason. Your order is not accepted until Opal & Oak confirms acceptance and payment has been successfully received and processed.

Please review your order carefully before submitting it, as we may be unable to accommodate cancellation or modification requests once an order has been accepted or entered fulfilment.

If we decline, modify or cancel an order, we will attempt to notify you using the email address, billing information and/or phone number provided when the order was placed.

Purchases are subject to our Refund and Return Policy.

You represent and warrant that your purchases are for your own personal or household use and not for unauthorized commercial resale or export.

Section 4 - Prices and Billing

Prices, discounts and promotions are subject to change without notice.

The price charged for a product or service will be the price in effect when the order is placed and will be shown during checkout and in your order confirmation.

Unless otherwise expressly stated, displayed prices may not include applicable taxes, shipping, handling, customs duties or import charges.

  3. Charges incurred by you will be honored by the applicable payment provider.

  4. You will pay all charges incurred at the prices shown at checkout, including applicable shipping charges and taxes.

Section 5 - Shipping, Delivery and Transit Damage

Delivery dates and transit times shown through the Services are estimates only and are not guaranteed unless expressly stated otherwise.

We are not responsible for delays caused by shipping carriers, customs processing, severe weather, service interruptions, governmental actions or other circumstances outside our reasonable control.

If your order arrives damaged in transit, please contact us at hello@opalandoak.com within 48 hours of delivery.

Please include:

  • Your order number.

  • Clear photographs of the external shipping packaging.

  • Clear photographs of any damaged internal packaging.

  • Clear photographs showing the affected product or products and the damage.

Please retain the product and its original shipping packaging while your claim is being reviewed, as additional information may be required.

We will review reported transit damage and, where appropriate, provide a replacement, refund or other remedy in accordance with our Refund and Return Policy and applicable law.

Failure to report visible transit damage within 48 hours may affect our ability to investigate a claim with the shipping carrier. However, nothing in these Terms is intended to limit any rights or remedies that cannot lawfully be limited under applicable consumer protection law.

Section 6 - Intellectual Property

Our Services, including but not limited to trademarks, brands, text, displays, images, graphics, product reviews, video, audio and the design, selection and arrangement thereof, are owned by Opal & Oak, its affiliates or licensors and are protected by applicable U.S. and international intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only.

You must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store or transmit material from the Services without our prior written consent, except as otherwise permitted by law.

Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright or other intellectual property belonging to Opal & Oak, Shopify or any third party.

Unauthorized use of the Services may violate applicable intellectual property laws.

Opal & Oak's names, logos, product and service names, designs and slogans are trademarks of Opal & Oak or its affiliates or licensors. You must not use these trademarks without prior written permission.

Shopify's name, logo, product and service names, designs and slogans are trademarks of Shopify.

All other names, logos, product and service names, designs and slogans appearing through the Services are the trademarks of their respective owners.

You may be provided with access to tools, integrations or functionality offered by third parties as part of the Services which we do not control.

You acknowledge and agree that access to such tools may be provided “as is” and “as available” without warranties, representations or conditions of any kind from Opal & Oak and without endorsement.

Your use of optional tools offered through the Services is at your own discretion, and you should review and understand the terms and privacy practices of the relevant third-party provider.

Opal & Oak is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make through our store are made directly with Opal & Oak.

By using the Services, you acknowledge that Shopify is the ecommerce platform provider and is not the seller of products purchased directly from Opal & Oak.

To the extent permitted by applicable law, Shopify and its affiliates are not responsible for claims arising solely from the products sold directly by Opal & Oak.

Nothing in this section limits any rights you may have directly against Opal & Oak under these Terms, our other policies or applicable law.

Section 10 - Privacy Policy

Personal information we collect through the Services is handled in accordance with our Privacy Policy.

Because the Services are powered by Shopify, Shopify also collects and processes certain personal information in connection with your access to and use of the Services in order to provide, secure and improve Shopify's services.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPAL & OAK AND ITS AFFILIATES, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, SERVICE PROVIDERS AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EXCEPT WHERE SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

THIS MAY INCLUDE, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA OR SIMILAR LOSSES.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY WHERE IT WOULD BE UNLAWFUL TO DO SO OR LIMITS ANY MANDATORY CONSUMER RIGHTS AVAILABLE TO YOU UNDER APPLICABLE LAW.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Opal & Oak, Shopify and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from losses, damages, liabilities or claims arising from:

  3. Your unlawful or unauthorized use of the Services.

We will provide reasonable notice of an indemnifiable claim where practicable.
